Secretary’s Book (or Corporate Records Book)
Corporations can not think and act on their own. They need people to do that for them. But unless those same people document the processes, it is impossible to separate the "corporation's" thinking from "people" thinking, This is done with Board of Director's Resolutions (discussed elsewhere) and the Record's Book. A properly authorized and recorded resolution allows the corporation to document it's thinking process.
When every we set up a new corporation or LLC, we provide a Corporation Secretary’s Book with preprinted stock certificates, embossing seal, sample minutes, tabbed sections for filing required documents.
This book will become one of the most important parts and integral to your proper corporation business management.
The proper filing of the minutes of Monthly Board of Director and annual stockholders’ meetings with election of officers and minutes are signs of a well run company.
Banks will ask you for your corporate book if and when you seek a business line of credit. Investors and venture capital investors will want to know how you plan to use the money. Your minutes of meetings will demonstrate your professionalism.
While the State of Nevada does not require a Secretary’s Records book, it should not be considered optional. We recommend that you record monthly Board of Director meetings as well the Annual Stockholders Meeting. Resolutions of the Board of Director authorizing actions or business activities should always be included in the Records.
Your Corporate Records Book, also known as Corporate Secretary's Records Book is a vital and important part of your business records. It is just as important as your Tax Records, maintain it well.
